1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Lexiscore Analytics Inc. platform, website, and all associated services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

Lexiscore Analytics Inc. ("Company," "we," "us," or "our") is a Canadian corporation located at 161 Bay St., Toronto, ON M5J 2S1, Canada, with VAT: 710582948 RT 0001.

2. Use License

The Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for lawful purposes only. You agree not to:

  • • Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service
  • • Attempt to gain unauthorized access to any portion of the Service
  • • Reproduce, duplicate, copy, sell, or resell any portion of the Service or access thereto
  • • Use automated tools, bots, or scrapers to access the Service without written consent
  • • Reverse engineer, decompile, or disassemble any portion of the Service

3. User Accounts

To access certain features of the Service, you may be required to create an account. You agree to:

  • • Maintain the confidentiality of your account credentials
  • • Be responsible for all activities that occur under your account
  • • Notify us immediately of any unauthorized use of your account
  • • Not share your account credentials with third parties

4. Intellectual Property Rights

The Service, including all content, features, and functionality (including but not limited to algorithms, analytics models, litigation risk scores, and Canadian judicial data compilations), is the exclusive property of the Company and is protected by Canadian copyright laws and international copyright treaties.

You retain all rights to any content you submit to the Service ("User Content"), but by submitting it, you grant the Company a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute such content for the purpose of providing and improving the Service.

5. Data and Privacy

The Service utilizes proprietary Canadian judicial data and analytics to provide litigation risk scoring. Your use of the Service is subject to our Privacy Policy, which is incorporated by reference into these Terms.

We collect and process personal information in accordance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and other applicable Canadian privacy legislation. By using the Service, you consent to the collection and processing of your information as described in our Privacy Policy.

You are responsible for ensuring that any data you input into the Service complies with all applicable privacy laws and that you have obtained all necessary consents from individuals whose data you process.

6. Limitation of Liability

To the fullest extent permitted by Canadian law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Service, even if the Company has been advised of the possibility of such damages.

The total liability of the Company to you in any claim arising from or relating to the Service shall not exceed the amount paid by you to the Company in the twelve (12) months preceding the claim.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE COMPANY MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Litigation risk scores, analytics, and judicial data provided by the Service are for informational purposes only and should not be construed as legal advice. You should always consult with a qualified legal professional regarding litigation strategy and risk assessment. The Company does not guarantee the accuracy, completeness, or timeliness of any information provided through the Service.

8. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from or relating to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

9. Termination

The Company may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Cause includes, but is not limited to: violation of these Terms, abuse of the Service, non-payment of fees, or conduct that the Company deems harmful to the Service or other users.

Upon termination, your right to use the Service ceases immediately. The Company is not liable for any consequences of termination, including loss of access to data or functionality.

10. Fees and Payment

If you subscribe to a paid plan, you agree to pay the fees indicated at the time of subscription. All fees are exclusive of applicable taxes unless otherwise stated.

Subscription fees are billed in accordance with the subscription plan you select. You authorize the Company to charge your payment method automatically on a recurring basis.

If payment fails, the Company may suspend your access to the Service until payment is received. Refunds, if any, are at the sole discretion of the Company and must be requested within thirty (30) days of payment.

11. Changes to Terms and Service

The Company reserves the right to modify these Terms and the Service at any time. If we make material changes, we will notify you by email or by posting a revised version on our website.

Your continued use of the Service following the posting of revised Terms means you accept and agree to the changes. It is your responsibility to review these Terms regularly for updates.

12. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law principles. You irrevocably consent to the exclusive jurisdiction of the courts of Toronto, Ontario for any disputes arising from or relating to these Terms or the Service.

13. Dispute Resolution

Before initiating legal proceedings, you agree to attempt to resolve any dispute informally by contacting the Company at data@lexiscore.bond.

If informal resolution fails, you agree to submit the dispute to binding arbitration in accordance with the Arbitration Act, 1991 (Ontario), conducted in Toronto, Ontario. The arbitration shall be conducted by a single arbitrator mutually selected by the parties.

14. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, the provision shall be severed. The remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding your use of the Service and supersede all prior and contemporaneous agreements, understandings, and negotiations.
